TERMS OF SERVICE

1. OVERVIEW
This website and online marketplace are operated by Uzuri Online (Pty) Ltd, registration number 2023/605324/07 ("Uzuri", "we", "us" or "our"). Our website address is https://uzurionline.co.za.
Uzuri provides an online marketplace through which customers can purchase products supplied by independent third-party sellers. By visiting our website, creating an account, placing an order or using any related service (collectively, the "Service"), you agree to these Terms of Service (the "Terms") and the policies linked in them.
Please read these Terms before using the Service. If you do not agree to them, you should not use the Service. Nothing in these Terms excludes or limits any right or remedy that cannot lawfully be excluded under the Consumer Protection Act 68 of 2008 (CPA), the Electronic Communications and Transactions Act 25 of 2002 (ECTA) or any other applicable law.
Our store is hosted by Shopify Inc., which provides the e-commerce platform used to operate the marketplace.
2. MARKETPLACE STRUCTURE
Uzuri operates the marketplace, displays products, facilitates orders and payments, communicates with customers, and assists with order-related support, returns and refunds on behalf of independent sellers.
Unless a product listing states that Uzuri is supplying the product directly, the relevant independent seller supplies and fulfils the product. Uzuri acts as the marketplace operator and sales agent for that seller. The seller may be identified on the product listing, order information or other transaction records, where applicable. Customers may also contact Uzuri for information about the seller responsible for an order.
Orders are placed and paid for through Uzuri. Customers may contact Uzuri directly about an order, delivery, cancellation, damaged or defective product, return or refund. We may coordinate with the relevant seller, courier or payment provider to resolve the matter.
Independent sellers are responsible for ensuring that their products, descriptions, stock information and fulfilment comply with applicable law and marketplace requirements. Uzuri remains responsible for any obligations that applicable law places on Uzuri as marketplace operator, agent, intermediary, retailer or supplier. Nothing in these Terms limits a customer's lawful rights against Uzuri, an independent seller or another responsible party.
Independent sellers may be subject to separate seller terms. These consumer Terms do not replace any separate agreement between Uzuri and a seller.
3. ELIGIBILITY AND USE OF THE SERVICE
You must be at least 18 years old and legally capable of entering into a binding agreement to place an order. A person under 18 may use the Service only with the involvement and consent of a parent or legal guardian.
You may not use the Service or any product for an unlawful or unauthorised purpose. You must not introduce viruses, malicious code or other material that could damage, interrupt or compromise the Service or another person's systems or information.
We may suspend or terminate access to the Service where reasonably necessary to prevent fraud, protect the marketplace or its users, comply with the law, or respond to a material breach of these Terms.
4. PRODUCT INFORMATION
We and our sellers aim to provide accurate product descriptions, specifications, images, availability and pricing. Product colours and appearance may differ slightly depending on lighting, photography and the display settings of your device.
Product dimensions, weights and other measurements may be approximate unless expressly stated otherwise. You should read the complete product description, warnings, compatibility information and instructions before placing an order or using a product.
We may correct genuine errors or update product information. We will not make a material change to an accepted order without informing you and, where required, obtaining your agreement. Your statutory rights are not affected by an error, correction or update.
5. PRICES, TAXES AND SHIPPING FEES
Prices are displayed in South African rand (ZAR) unless another currency is expressly shown. The price payable is the price shown at checkout when you place the order, together with any applicable shipping fees, taxes, duties or other charges clearly disclosed before you confirm the purchase.
We may change prices at any time before an order is accepted. A price change will not affect an order already accepted, except where an obvious pricing error has occurred and the law permits the order to be corrected or cancelled. If an order is cancelled because of such an error, all affected payments will be refunded.
International customers may be responsible for customs duties, import taxes, clearance fees or similar charges imposed by the destination country. These charges are not included unless expressly shown at checkout.
6. ORDERS AND ACCEPTANCE
Before submitting an order, you will have an opportunity to review the transaction, correct mistakes or withdraw from it. Submitting an order is an offer to purchase the selected products.
An automated order acknowledgement confirms that we received your order; it does not necessarily mean the order has been accepted. The order is accepted when we send an acceptance or dispatch confirmation, or otherwise expressly confirm that fulfilment has begun.
We may decline or cancel an order on reasonable grounds, including suspected fraud, payment failure, stock unavailability, legal restrictions, an obvious pricing or listing error, delivery limitations, or a seller's inability to fulfil the order. We will notify you and refund any payment relating to a cancelled item or order.
An order containing products from different sellers may be split into separate shipments. Each part may be fulfilled and delivered independently.
7. PAYMENT
Available payment methods are displayed at checkout and may include third-party payment providers. By selecting a payment method, you agree to any lawful terms imposed by that provider.
You confirm that you are authorised to use the payment method supplied and that your billing and contact information is accurate. Payments may be subject to verification, fraud screening and authorisation by the relevant provider.
Uzuri may receive and process payment as agent on behalf of the relevant seller. Payment to Uzuri through the approved checkout satisfies your payment obligation for that order to the extent of the amount successfully received.
We do not store complete payment-card details where payment processing is performed by an authorised third-party provider. Payment information is handled using the security measures applicable to the chosen payment system.
8. SHIPPING, DELIVERY AND COLLECTION
Orders are generally prepared for dispatch within three business days, excluding weekends and South African public holidays. Estimated delivery times after dispatch are set out in our Shipping Policy. Estimates are not guaranteed and may be affected by courier delays, customs, peak periods, weather or events outside reasonable control.
A tracking code will be provided when available after dispatch. Where an order contains products from multiple sellers, products may arrive separately and have different tracking information.
You must provide a complete and accurate delivery address and contact number. If delivery fails because the supplied details are incorrect or incomplete, reasonable redelivery or return charges may be payable, to the extent permitted by law.
Products remain at the supplier's risk until you or a person authorised by you accepts delivery, except where applicable law provides otherwise. You should inspect the parcel and products within a reasonable time and report any delivery problem promptly.
Where collection is offered and selected, we will notify you when the order is ready. Collection is from 39 Perth Street, Buccleuch, Johannesburg, Gauteng, 2090, unless another collection location is confirmed for the order. Reasonable proof of identity or order authorisation may be required.
9. CANCELLATIONS AND ONLINE COOLING-OFF RIGHTS
You may request cancellation before dispatch by contacting us. We will try to stop fulfilment, but cancellation cannot be guaranteed once an order has been packed or dispatched.
Where section 44 of ECTA applies, you may cancel an eligible online purchase without reason and without penalty within seven days after receiving the goods. The direct cost of returning the goods may be charged to you. Any refund required under this cooling-off right will be made within the period prescribed by law.
The cooling-off right may not apply to goods excluded by law, including goods made to your specifications, clearly personalised goods, goods that by their nature cannot be returned, goods likely to deteriorate or expire rapidly, or other legally excluded categories.
Additional cancellation and return rights may apply under the CPA or another law. These rights are not limited by this section.
10. RETURNS, REFUNDS AND EXCHANGES
Returns, refunds and exchanges are governed by our Returns & Refunds Policy, which forms part of these Terms.
To request a return or exchange, use our Returns and Exchanges form or contact us at admin@uzurionline.co.za. We may ask for the order number, a description of the issue, photographs or other information reasonably necessary to assess and process the request.
For eligible change-of-mind returns, products must be returned in the condition reasonably required by the Returns & Refunds Policy and applicable law. Any lawful exception for hygiene-sensitive, personalised, perishable, unsealed or other excluded goods will be applied only to the extent permitted by law.
Approved refunds will ordinarily be made to the original payment method. Processing time after we issue a refund may depend on the payment provider or bank.
11. DAMAGED, DEFECTIVE OR INCORRECT PRODUCTS
If a product arrives damaged, defective or incorrect, contact us as soon as reasonably possible. Reporting the issue within 48 hours, where practical, helps us investigate courier damage or fulfilment errors quickly, but it does not remove or shorten any statutory right.
Where the CPA applies, goods carry the statutory warranty of quality. During the applicable statutory period, a consumer may be entitled to return defective goods without penalty and at the supplier's risk and expense, and to select the remedy provided by law, which may include repair, replacement or refund.
No seller warranty, manufacturer warranty or marketplace policy replaces or reduces a statutory warranty or remedy.
12. STOCK AVAILABILITY AND OVERSELLING
Stock information may change quickly and, in limited cases, a product may become unavailable after an order is placed. If we or a seller cannot fulfil an accepted order, we will inform you and provide the refund or other remedy required by applicable law.
We may limit quantities per customer, household, account, payment method or address where reasonably necessary to manage limited stock, prevent resale abuse or combat fraud, provided that the restriction is lawful and fairly applied.
13. CUSTOMER ACCOUNTS AND INFORMATION
You may be able to shop as a guest or through a customer account. You are responsible for keeping your sign-in details secure and for activity performed through your account, except where that activity results from a failure for which we are legally responsible.
You must provide information that is current, complete and accurate. Please update your email address, delivery details and other account information when they change.
Contact us promptly if you believe your account has been accessed without authorisation. We may temporarily restrict access while investigating a security concern.
14. PERSONAL INFORMATION AND MARKETING
Our collection and use of personal information are governed by our Privacy Policy and applicable data-protection law.
We may process information necessary to operate the marketplace, complete orders, prevent fraud, provide support, comply with legal duties and coordinate with sellers, couriers, payment providers and other service providers involved in the transaction.
Marketing communications will be sent only where permitted by law. You may unsubscribe using the link or method provided in the communication. Unsubscribing from marketing does not prevent us from sending essential service or order-related messages.
15. REVIEWS, COMMENTS AND SUBMISSIONS
If you submit a product review, comment, image, suggestion or other content, you confirm that you have the right to submit it and that it is accurate, lawful and does not infringe another person's intellectual-property, privacy or other rights.
You grant Uzuri a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, format and use that content for operating, improving and promoting the marketplace. This licence does not transfer ownership of your content to Uzuri.
We may moderate or remove content that is unlawful, fraudulent, abusive, misleading, irrelevant, infringes rights or violates these Terms. We are not obliged to publish every submission.
16. INTELLECTUAL PROPERTY
The website, branding, logos, layout, software and content created or licensed by Uzuri are protected by intellectual-property laws. Seller and third-party names, trademarks, product images and other materials remain the property of their respective owners.
You may use the website for personal, non-commercial shopping purposes. You may not reproduce, scrape, copy, sell, modify, distribute or exploit a material part of the Service without prior written permission from the relevant rights holder, except where the law permits otherwise.
17. PROHIBITED USES
You may not use the Service:

for an unlawful, fraudulent or deceptive purpose;

to infringe intellectual-property, privacy or other rights;

to harass, threaten, defame, discriminate against or harm another person;

to submit false or misleading information;

to upload malware or interfere with the security or operation of the Service;

to collect personal information unlawfully;

to spam, phish, scrape or access the Service through unauthorised automated means; or
-
to bypass security, purchase limits or other lawful controls.
We may take reasonable action to protect the Service and affected users, including removing content, restricting access or reporting unlawful conduct.
18. THIRD-PARTY SERVICES AND LINKS
The Service may contain links to or integrations with sellers, payment providers, couriers, review platforms, loyalty services, social networks or other third parties. Their services may be governed by separate terms and privacy policies.
Uzuri is not responsible for a third-party website or service merely because it is linked or integrated with the marketplace. This does not exclude any responsibility that applicable law places on Uzuri for selecting, instructing or working with a third party in connection with your transaction.
19. SERVICE AVAILABILITY
We aim to keep the Service secure and available but cannot guarantee uninterrupted or error-free access. Maintenance, network failures, security incidents or events outside reasonable control may temporarily affect availability.
We may update, suspend or discontinue a feature where reasonably necessary. If this materially affects an accepted order or a paid service, we will provide any notice, refund or remedy required by law.
Historical, editorial or general information on the website is provided for context and should not replace professional advice where professional advice is reasonably required.
20. WARRANTIES AND LIABILITY
Nothing in these Terms excludes, limits or waives:

a consumer right or remedy that cannot lawfully be excluded;

liability for fraud, wilful misconduct or gross negligence;

liability for unsafe or defective goods where imposed by law;

liability for death, personal injury, property damage or financial loss where the law does not permit exclusion; or
-
any responsibility imposed on Uzuri or a seller by the CPA, ECTA or another applicable law.
Products carry the warranties expressly stated in the product listing and any statutory warranties that apply. We do not provide an additional warranty unless it is expressly stated.
To the extent permitted by law, Uzuri will not be liable for indirect or consequential loss that was not reasonably foreseeable when the transaction was concluded. Uzuri is not responsible for loss caused solely by information, conduct or delay of an independent seller, courier, payment provider or other third party where Uzuri took reasonable steps and applicable law does not make Uzuri responsible. This paragraph does not restrict any right to claim against the responsible seller or third party.
21. INDEMNITY FOR UNLAWFUL USE
To the extent permitted by law, you are responsible for loss reasonably suffered by Uzuri or another person as a direct result of your fraudulent or unlawful use of the Service, your intentional infringement of another person's rights, or your material breach of these Terms.
You will not be required to indemnify Uzuri for loss caused by Uzuri's own unlawful conduct, negligence, gross negligence or breach of a statutory duty.
22. EVENTS OUTSIDE REASONABLE CONTROL
Uzuri or a seller may be delayed by events outside reasonable control, including severe weather, natural disasters, strikes, civil unrest, transport disruption, customs delays, power or network failures, government action or other force-majeure events.
We will take reasonable steps to minimise the effect and keep affected customers informed. This section does not remove any right to cancel, obtain a refund or receive another remedy where the delay or failure becomes unreasonable or applicable law provides such a right.
23. COMPLAINTS AND DISPUTE RESOLUTION
Please send an order-related complaint to admin@uzurionline.co.za with your order number and relevant details. We will try to resolve it directly and may engage the relevant seller, courier or payment provider.
If a consumer dispute is not resolved, you may use any remedy available under applicable law, including referring the matter to an applicable industry ombud or alternative dispute-resolution body, a provincial consumer protection authority, the National Consumer Commission, the National Consumer Tribunal or a court with jurisdiction, subject to any legally required process.
Nothing in these Terms prevents either party from seeking urgent legal relief where appropriate.
24. ELECTRONIC COMMUNICATIONS AND RECORDS
You consent to receiving agreements, notices, invoices, order confirmations and other transaction records electronically at the email address or contact details you provide, unless the law requires another method.
You may save, download or print these Terms and transaction communications for future reference. Contact us if you reasonably require another accessible copy of an order record.
25. SEVERABILITY AND WAIVER
If any provision of these Terms is found to be unlawful or unenforceable, it will be severed or limited only to the extent necessary. The remaining provisions will continue to apply.
If we do not immediately enforce a provision, that does not amount to a waiver of the provision or any right, unless the waiver is expressly given in writing.
26. GOVERNING LAW
These Terms and transactions conducted through the marketplace are governed by the laws of the Republic of South Africa. Any dispute will be dealt with by a court or competent consumer forum with jurisdiction, subject to the consumer's rights under applicable law.
27. CHANGES TO THESE TERMS
We may update these Terms to reflect changes to the marketplace, our practices or applicable law. The latest version and its effective date will be published on this page.
A material change will not retrospectively reduce rights relating to an order already accepted. Continued use of the Service after updated Terms take effect constitutes acceptance only to the extent permitted by law.
